Leading US AI chip maker Nvidia announced Monday it had acquired $5 billion in shares of semiconductor giant Intel. This completes an agreement signed by the companies in September. The deal will provide Intel with significant financial support after several years of poor performance and overinvestment in expanding its production capacity, which has drained the company’s finances.
The shares were priced at $23.28 per share in a private placement transaction, according to deal details. The sale was conducted pursuant to a Securities Purchase Agreement dated September 15, 2025.
The transaction was conducted utilizing the Section 4(a)(2) exemption as a non-public offering. Intel previously disclosed the proposed transaction in a filing with the Securities and Exchange Commission on September 18.
Nvidia shares fell 1.3% in pre-market trading, while Intel shares were little changed.
